By accessing and using Halvornestro's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the "Client") and Halvornestro (the "Agency"). If you do not agree with any part of these terms, you must discontinue use of our services immediately. Your continued use of our services following any modifications to these terms constitutes acceptance of those changes.
Halvornestro provides professional design services including but not limited to brand identity development, website design and development, user interface and user experience design, graphic design, and related creative services. All services are provided on a project basis or through predefined packages as outlined on our website. The specific scope of work for each project will be detailed in a separate project agreement or statement of work, which will reference and incorporate these Terms of Service. We reserve the right to refuse service to anyone for any reason at any time, particularly if we determine that a project falls outside our expertise or conflicts with our ethical standards.
Clients are responsible for providing accurate, complete, and timely information necessary for project completion. This includes but is not limited to brand materials, content, images, access credentials, feedback, and approvals. Delays in providing required materials may result in project timeline extensions. Clients must ensure they have the legal right to use all materials provided to us and must obtain necessary permissions for any third-party content. Clients are responsible for maintaining confidentiality of any account credentials or access information provided by Halvornestro. Failure to meet these responsibilities may impact project delivery and quality.
Payment terms are specified in individual project agreements. Generally, we require a deposit before work commences, with the balance due upon project completion or according to agreed milestones. All prices are quoted in Australian Dollars (AUD) and include GST where applicable. Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest charges at the rate of 2% per month on the outstanding balance. We reserve the right to suspend or terminate services for non-payment and to withhold delivery of work until full payment is received. Refund policies are project-specific and will be outlined in your project agreement.
Upon full payment, clients receive agreed-upon usage rights to final deliverables as specified in the project agreement. Halvornestro retains ownership of all preliminary concepts, drafts, and unused designs. We reserve the right to display completed work in our portfolio and marketing materials unless confidentiality is explicitly requested and agreed upon in writing. Clients may not resell, redistribute, or claim authorship of designs created by Halvornestro. Any unauthorized use of our work may result in legal action. Third-party elements (stock photos, fonts, etc.) remain subject to their original licenses, and clients are responsible for obtaining proper licensing for continued use beyond our services.
Each package includes a specified number of revision rounds as detailed in your project agreement. Revisions must be requested within reasonable timeframes and should be consolidated to maximize efficiency. Additional revisions beyond the agreed-upon number will be charged at our standard hourly rate. Major scope changes or requests that significantly deviate from the original brief may require a new project agreement and additional fees. We aim to accommodate reasonable requests but reserve the right to decline changes that fundamentally alter the approved direction or exceed agreed scope.
Estimated timelines are provided in good faith based on standard workflows and assume timely client cooperation. Actual delivery dates may vary depending on project complexity, client responsiveness, and unforeseen circumstances. While we strive to meet all deadlines, Halvornestro is not liable for delays caused by circumstances beyond our reasonable control, including but not limited to client delays in providing materials or feedback, technical failures, or force majeure events. Rush services may be available for an additional fee, subject to our capacity and scheduling.
We warrant that all work will be performed with professional skill and care. However, we do not guarantee specific business results, traffic levels, conversion rates, or other performance metrics. Our liability is limited to the total fees paid for the specific project in question. We are not liable for indirect, consequential, or special damages. This limitation applies to the fullest extent permitted by law. While we strive for error-free work, clients are responsible for final review and approval of all deliverables before publication or implementation.
Halvornestro respects client confidentiality and will not disclose sensitive business information without permission, except as required by law. We implement reasonable security measures to protect client data but cannot guarantee absolute security against all threats. Clients are responsible for backing up their own data and content. We comply with applicable Australian privacy laws and data protection regulations. Our Privacy Policy, which is incorporated into these terms by reference, provides additional details about how we collect, use, and protect your information.
Either party may terminate the agreement with written notice. In the event of termination, clients are responsible for payment of all work completed to date, calculated on a pro-rata basis or according to achieved milestones. Deposits are generally non-refundable except in cases where Halvornestro is unable to fulfill the agreed services. Upon termination, we will provide all completed work and transfer agreed-upon rights. Materials not yet paid for remain the property of Halvornestro. We reserve the right to terminate immediately if clients breach these terms, provide false information, or engage in abusive behavior toward our team.
Any disputes arising from these terms or our services shall first be subject to good faith negotiations between the parties. If negotiations fail, disputes will be resolved through binding arbitration in accordance with Australian law in the Australian Capital Territory. Each party bears their own costs unless otherwise determined by the arbitrator. These terms are governed by the laws of the Australian Capital Territory and the Commonwealth of Australia, and both parties submit to the exclusive jurisdiction of courts in that territory.
These Terms of Service, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior understandings. If any provision is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision does not constitute a waiver of that right. We may update these terms at any time, with changes effective upon posting to our website. Continued use of our services after changes constitutes acceptance. These terms may not be assigned by clients without our written consent. All notices must be in writing and sent to the addresses specified in the project agreement.

For projects requiring strict confidentiality, we can establish appropriate contractual protections upon request.
Halvornestro shall not be held liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor or materials, failure of technology or infrastructure, or any other unforeseen circumstances. In the event of such circumstances, we will make reasonable efforts to notify affected clients promptly and to resume performance as soon as reasonably practicable. Project timelines may be extended by a period equivalent to the duration of the force majeure event. We appreciate your understanding and patience in such situations and will work collaboratively to minimize disruption to your project while prioritizing the safety and well-being of our team and clients.
